C O M P U T E R   C L U B   W I N T E R T H U R

BYLAWS

NAME AND PURPOSE

1. Under the name COMPUTER CLUB WINTERTHUR (CCW) there exists a club of unlimited duration with domicil in Winterthur.

2. The club aims to fullfill following aims:

 

MEMBERSHIP

3. Anyone can apply for memberschip. Applications are to be sent in writing to the president. The board decides about the admittance of new menbers.

4. Withdrawal can be done on the 30th of June or the 31st of December under maintenance of a period of 30 days in written form to the president. The membership dues for the running year are to be paied procentually, maximally on the terms of the previous year.
Also a member is regarded as withdrawn, if he has not paied until the 30th of November of the running year, despite being reminded.

5. The general assembly can expell members without stating any reason. In this case the annual membership dues for the running year are to be paied back.

6. With the withdrawal or expelling all membership rights of the member are terminated, also all claims to the property or the services of the club. For programs, that have been left to the club, there exists no right to refund or return.

 

ORGANISATION

7. The institutions of the club are:

GENERAL ASSEMBLY

9. The general assembly is the superiour institution of the club and consists of all members together. The regular general assembly is called in by the board at least 3 weeks in advance under statement of the subjects of discussion.

10. Proposals from members to the regular general assembly must be handed in in writing to the president until latest 1st December.

11. Every member has one vote.

12. In the case of equality the presidents vote casts the vote.

13. In voting the majority of the casted votes decides with the exception of article 24. In elections the absolute majority decides, if need be in an further election the relative majority of the casted votes.

14. The regular general assembly takes place annually in the first quater of the year. It has the task of doing the following:

15. The board can summon an exceptional general assembly. It is force to do so, if at least a fifth of all members demand this. The summon has to be issued at least ten days in advance. Together with the invitation the subjects of discussion must be annonced.

 

BOARD

16. The board consists of at least three persons. It takes care, that the duties of the president, the secretary and the cashier get done.

17. The board carries through the current business. It has in the frame of the clubs aims all competences, that are not by law or the bylaws reserved for the general assembly. All decisions of the board require the absolute majority of the votes of the board members.

18. The board arranges the representation of the club towards third parties. The president is however in all cases authorized to represent it.

 

AUDITOR

19. The general assembly elects an auditor and a replacement auditor to check the accounts. The auditor has to check the accounts at least once per year, if possible together with the replacement auditor and report in writing and in word the result to the general assembly.
The auditor can be reelected earliest after 2 years. The replacement auditor automaticaly becomes auditor in the following year.

 

FINANCIAL RESOURCES

20. The income of the club comes from:

21. For the obligations of the club it is only liable with the clubs property.

22. The members of the club pledge, to give no program further to an third party, which they have recieved from the club or from other club members as part of their club activity. In case of contravention the club has right to fitting compensation.

23. The board has the right, to reglement the exchange of programs between members as part of club activities. The regulation must be approved by the general assembly.

 

DISSOLVING

24. Dissolving the club can only be done at occasion of a general assembly and by means of a written, secret ballot, when more than half of the club members vote for dissolving.
If the quorum of voters was not achieved, then a second general assembly can after the duration of one month decide to dissolve the club with the majority of the votes handed in.
In the case of dissolving after this there shall be decided about the usage of the club property.
